Terms of Service

By accessing or using the Accipio platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("Merchant," "you," or "your") and SolisHQ ("Company," "we," "us," or "our").

Accipio is an AI Commerce Intelligence & Decision Infrastructure platform that processes customer conversations, makes commerce decisions, and provides analytics for merchants. The Service operates through a 7-step Authorized Response Pipeline and uses deterministic policy evaluation to govern AI responses. Accipio integrates with supported commerce platforms (currently Shopify) to access order, product, and customer data as authorized by the merchant.

To use the Service, you must install the Accipio application through a supported commerce platform. You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information during registration. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Accipio uses a DB-per-tenant architecture where each merchant receives a dedicated, isolated database. Your commerce data is never shared with or accessible to other merchants. Customer personally identifiable information (PII) is not stored in AI processing artifacts — only commerce platform reference identifiers are retained. Accipio uses artificial intelligence to process customer conversations and make commerce decisions. All AI responses are governed by the Policy Engine and must pass through the Commitment Verification Gate before reaching customers. The AI cannot promise, grant, or imply any merchant action unless explicitly authorized by the Policy Engine. While we strive for accuracy, AI-generated responses may occasionally contain errors. You are responsible for configuring policies that reflect your business rules. See our AI Disclosure Policy for additional details.

The Service is offered on a subscription basis with monthly billing. Current plan tiers and pricing are listed on our Pricing page. Overage conversations beyond your plan limit are billed at the published overage rate. You may upgrade, downgrade, or cancel your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the next billing cycle. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods.

You agree not to use the Service to: process conversations that violate applicable laws; transmit malicious content or attempt to bypass safety systems; misrepresent AI-generated responses as human-generated when required by law; resell or redistribute the Service without authorization; attempt to access other merchants' data or reverse-engineer the platform; use the Service in a manner that could harm other users or the platform's integrity.

The Service, including its software, algorithms, pipeline architecture, and documentation, is the intellectual property of SolisHQ and is protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights in the platform. You retain ownership of your commerce data and business policies configured within the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLISHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation applies regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease. Your data will be retained for thirty (30) days after termination, during which you may request data export. After the retention period, all data associated with your account will be permanently deleted. We reserve the right to terminate accounts immediately for violations of these Terms.

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
